TERMS & CONDITIONS
The terms and conditions (these “Terms and Conditions”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Edshire (“we,” “us” or “our”), concerning your access to and use of the website as well as any other media form, media channel, mobile website or mobile application, or otherwise connected thereto (collectively, the “Site”).
You hereby agree and undertake that by accessing the Site and use of the services, you have read, understood, and agree to be bound by all of these Terms and Conditions, which establishes a contractual relationship between you and Edshire. Therefore, if you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the Site and you must not access or use the site and services.
1) Definitions:
We, Us, Our, Ours, these terms will be referred to as the “Edshire”, while You, Your, Yours will be referred to as the “User”.
2) What We Offer:
We, Edshire, offer skill-based online courses with our trainers that allow you to buy the courses from our website, however, we reserve all the rights and we exclusively have all the ownership and proprietary rights of the online courses, therefore you can’t use the material for any other purpose.
3) User Representations:
By accessing or using the site and services, you hereby represent and warrant that:
(a) You have the legal capacity and you agree to comply with these Terms & Conditions;
(b) You will not access the Site through automated or non-human means, whether through a bot, script, or otherwise;
(c) You will not use the Site for any illegal or unauthorized purpose and you will not violate any applicable law, rule, or regulation.
4) Payments:
We are integrated with a third party and you hereby agree that all the payments or prices will be made in the currency of rupees, however, you will not have any right to make the payment of the courses in any other currency. Furthermore, you hereby accept that you will have to create an account with us to buy the online courses from our website.
5) Refund & Cancellation:
You hereby acknowledge that if you want to cancel or refund the payment, you will contact us on our email [email protected] within 5 days and we will check and examine your status of buying but you will not have any right to demand/claim a refund from us after 5 days and therefore we will not give you any refund after 5 days.
5) Restriction:
You hereby accept and acknowledge that we, without any notice or intimation, may restrict you from accessing or using the site/services where we suspect that you have breached or violated any provision of these terms and conditions, and you don’t qualify under applicable law to access and use the services. In addition to this, we may deactivate your access to the services if you have been involved in any illegal, illegitimate, or unauthorized activities while accessing or using the services and therefore you hereby agree that you will be solely responsible for all the consequences in this case.
6) User Data:
We maintain certain data that you transmit to the Site to manage the performance of the Site, as well as data relating to your use of the Site. However, you will be solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Site. You hereby agree that we shall have no liability to you for any loss or corruption of such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

9) Force Majeure:
We will not be liable for any default, delay, or lapse occurring due to events beyond our control including riots, strikes, theft, war, or acts of God or nature. Under these terms and conditions, “Force Majeure” will mean acts of God, strikes, lockouts, other industrial disturbances, acts of the public enemy, laws and regulations, wars or war-like action, arrests, or other restraints of governments (civil or military), blockades, insurrections, riots, epidemics, landslides, lightning, earthquakes, hurricanes, fires, storms, floods, civil disturbances, confiscation or seizure by any government or public authority, and any other similar causes, that are not reasonably within the control of the parties.
10) Limitation of Liability:
IN NO EVENT WILL EDSHIRE, ITS AFFILIATES OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.
11) Indemnification & Hold Harmless:
You hereby agree to release, indemnify and hold harmless us against any losses, accidents, liabilities, damages, injuries, expenses, and claims resulting in whole or part, directly or indirectly, from the negligence and breach of these terms and conditions. Furthermore, you hereby undertake that we will not be responsible for your gross negligence, willful misconduct, or bad faith in any case.
12) Disputes:
We operate a complaints process to allow you to make complaints about us to manage all the disputes or complaints professionally and we always operate and manage all the disputes or complaints with full transparency. Furthermore, you have the right to raise any dispute and therefore we reserve the right to resolve all the disputes, conflicts, and claims arising out in connection with these terms and conditions.
13) Modifications & Interruptions:
We reserve the right to change, modify, or remove the contents of the Site at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on our Site. We also reserve the right to modify or discontinue all or part of the Site without notice at any time. We cannot guarantee the Site will be available at all times and we may experience hardware, software, or other problems or need to perform maintenance related to the Site, resulting in interruptions, delays, or errors. 14) Legal Binding:
You hereby agree that all the provisions of these terms and conditions are legally binding upon you and it is enforceable in the Court of Law. Furthermore, you hereby understand that all the provisions of these terms and conditions are legal, valid, and binding on you, and are in full force representing legitimate rights.
15) Governing Law & Jurisdiction:
These terms and conditions will be governed, conducted, and executed fully under the laws of India, and will be interpreted by the laws of India.
